Art. 1 – Definitions

Officine Gullo S.r.l., with its registered office at Via della Torricella, 29 – 50012, Bagno a Ripoli – Florence (hereinafter also referred to as “Officine Gullo”), the terms used in these general conditions (hereinafter also referred to as “Conditions”), whether capitalized or in lowercase and/or in the singular or plural, have the following meanings:

• “Officine Gullo”: the company Officine Gullo S.r.l., with its registered office at Via della Torricella, 29 – 50012 – Bagno a Ripoli (FI), which manufactures the products offered through the website shop.officinegullo.com;
• “MM Operations”: the company MM Operations S.r.l., with its registered office at Strada Della Repubblica, 66 – 43121 – Parma, which exclusively manages the online sales service for the products offered through the official website shop.officinegullo.com;
• “Service”: the online sales service for products offered through the website shop.officinegullo.com, consisting of the reservation, purchase, and subsequent shipment of the Products;
• “Website”: the website shop.officinegullo.com;
• “Products”: the goods available for viewing and purchasing in the e-commerce section of the Website;
• “User”: an adult individual who uses the Service;
• “Order”: the Products selected by the User and the related shipping methods, as outlined in the confirmation and summary communication.

 

Art. 2 – Premises

These Conditions, along with the documentation on the Website—such as, for example, the privacy policy—regulate the Service offered to the User through the Website by MM Operations.
Before using the Service and completing an Order, the User undertakes to fully read these Conditions and to print and save them on a durable medium.
These General Conditions apply to all Orders placed by Users through the Website and may be amended at any time by Officine Gullo.
Officine Gullo reserves the right to unilaterally modify these Conditions without prior notice to Users. Such changes will be effective upon publication on the Website and will apply to Orders completed after the publication date of said changes.

 

Art. 3 – Subject of the Conditions

The Service allows Users, after completing a specific electronic form on the payment page and making the required payment, to purchase the Products listed on the Website, with subsequent delivery to the shipping address indicated by the User at the time of purchase, in compliance with these Conditions, the documents referred to herein, and the applicable and current legislation.

The Service is available to Users located in the following countries: China, South Korea, Hong Kong, Australia, Thailand, Vietnam, United Kingdom, Ireland, United Arab Emirates, Qatar, Lebanon, Kuwait, Saudi Arabia, Turkey, Bahrain, Oman, Nigeria, India, Italy, San Marino, Vatican City (Holy See), Estonia, Lithuania, Latvia, Cyprus, Portugal, Slovakia, Romania, Poland, Bulgaria, Hungary, Czech Republic, Serbia, Croatia, Netherlands, Slovenia, Greece, Albania, Bosnia and Herzegovina, Iceland, Malta, Montenegro, North Macedonia, France, Monaco, Belgium, Luxembourg, Germany, Austria, Denmark, Sweden, Finland, Norway, Switzerland, Liechtenstein, Spain, Andorra, South Africa.

The User is required to verify the accuracy of the information and content of the Order before submitting it. Completing the purchase order and its subsequent submission (by clicking the “place order” button) implies full knowledge and express acceptance of these Conditions and everything specified in the Order.

The Order submitted by the User in accordance with these General Conditions is deemed completed upon receipt of the correct payment by MM Operations.

 

Art. 4 – Photos and Products

The graphic representations, photos, drawings, images, and color schemes available on the Website in the respective Product descriptions are merely illustrative of the Products and purely indicative.
Officine Gullo and MM Operations shall not be liable for any discrepancies between the actual Product and the graphic representations, photos, drawings, images, and color schemes of the Products shown on the Website, as these should be considered as indicative and exemplary.

The Products are available for purchase until stocks last; in the event of unavailability and/or depletion of one or more Products, Officine Gullo undertakes to promptly notify Users in the respective Product descriptions.
In any case, Officine Gullo reserves the right, at any time, to change the type and/or availability and/or characteristics of the Products displayed on the Website.

 

Art. 5 – Prices and Promotions

All Product prices, as indicated on the Website, are expressed in euros and are exclusive of VAT and any other tax.
The prices of the Products included in the Order and any applicable promotions are those indicated on the Website at the time the Order is completed.

The costs shown in the Order Summary also include an indication of the applicable VAT based on the current legislation, shipping costs, and any customs duties and/or taxes for shipments to countries outside the European Union.

 

Art. 6 – Payment

The payment methods are exclusively those indicated on the Website at the time the Order is placed; no other forms of payment will be accepted.
For details regarding individual payment channels, users are invited to review the terms applicable to the service provided by the payment processor. Issuance of an invoice is not mandatory and can be requested by the User as per D.P.R. of 26/10/1972 n. 633 – art. 22.

 

Art. 7 – Order Confirmation and Delivery

Once the Order is submitted via the Website, the User will receive an email confirmation of the Order, indicating the order number, a summary of the entered data, a list of the purchased products, their prices, and the total amount of the Order.
MM Operations commits to fulfilling the Orders without delay and as quickly as possible; in any case, MM Operations will process the Orders received within 15 working days from the date of receipt of payment by the User. Once the payment to MM Operations is successfully processed, a copy of the purchase receipt will be included within the shipment package.

Delivery times and methods may vary depending on the third party handling the shipping on behalf of MM Operations and the destination country of the Products.
If, during the Order processing, one or more Products become unavailable, MM Operations will promptly notify the User through the contact information provided in the Order summary. In such cases, the User has the right to request the cancellation of the Order for the unavailable Product and may request a refund for the amount paid in relation to that Product, including any shipping costs and/or additional fees.

The User is required to verify the conformity of the received items—such as, for example, the number of packages delivered, the integrity of the packaging, any signs of tampering with the packaging—and immediately notify the courier, following the procedures provided by the shipping service.

MM Operations rezerves the right to refuse or cancel Orders that are:

• From Users with whom Officine Gullo and/or MM Operations have ongoing legal disputes;
• From Users who have previously violated these Conditions;
• From Users who have provided false identification data and/or used it for fraudulent purposes.

 

Art. 8 – Liability

Officine Gullo and MM Operations disclaim all liability for direct or indirect damages of any nature or in any form that may arise from the use of the Website and/or the information, photos, and details contained therein.

Furthermore, Officine Gullo and MM Operations cannot be held responsible for damages, losses, and costs incurred by the User as a result of the non-performance or partial performance of the purchase contract for the Products due to causes beyond their control.

Except for mandatory legal obligations, any liability of Officine Gullo and MM Operations is excluded in the event of force majeure and/or unforeseen events.
The User is solely responsible for the truthfulness and accuracy of the data and information provided when submitting the Order, expressly releasing Officine Gullo and MM Operations from any liability in this regard.

 

Art. 9 – Legal Warranty

Without prejudice to the additional terms provided by Legislative Decree n. 206/2005 and its subsequent amendments, the Products sold through the Website are covered by the legal warranty of conformity offered by Officine Gullo S.r.l. in accordance with the applicable law, specifically for 24 (twenty-four) months following the delivery of the Products.
Any lack of conformity must be reported by the User, under penalty of forfeiture of the warranty, within 2 (two) months from the date it was discovered.

The aforementioned warranty does not cover malfunctions caused by accidental events and/or misuse of the Products as indicated in the Product’s technical documentation. To benefit from the legal warranty, the User must provide proof of purchase and delivery of the Product.
In the case of a properly reported lack of conformity, the User has the right to request the repair or replacement of the Product free of charge, unless the requested remedy is objectively impossible or excessively burdensome compared to the alternative. The request may be sent to MM Operations through the website shop.officinegullo.com.

A remedy is considered “excessively burdensome” if it imposes unreasonable costs on MM Operations compared to alternative remedies, taking into account (a) the value the Product would have if there were no lack of conformity; (b) the significance of the lack of conformity; (c) the possibility that the alternative remedy could be completed without significant inconvenience to the User.

 

Art. 10 – Communications

It is possible to request information, send communications, and/or file complaints by contacting Officine Gullo and MM Operations:

For any inquiries, an online form is available at shop.officinegullo.com/en/contacts. This service, provided by Officine Gullo and MM Operations, is available from Monday to Friday, from 9 AM to 1 PM and from 2 PM to 6 PM.

The User acknowledges, accepts, and consents that all communications, notifications, confirmations, information, reports, and any other documentation related to the Service will be sent to the email address and/or fixed and/or mobile number provided when completing the Order form.

 

Art. 11 – Withdrawal

The User, if acting as a consumer, has the right to withdraw from the contract concluded under these Conditions, without penalty and without specifying any reason, within 14 working days from the day of receipt of the products by:

Submitting a specific request through the online form available at shop.officinegullo.com/en/contacts.

The Products must be returned in their entirety, within their original packaging, and including all integral elements—such as labels and/or tags—and their relevant accessories.

The only expenses owed by the User for exercising the right of withdrawal are the direct costs of returning the Products to MM Operations, including any customs fees.
If the withdrawal is exercised in accordance with the procedures described, MM Operations will refund the amount paid by the User for the purchase of the product within 14 days from the date of actual receipt of the returned Products. It is understood that only the price paid for the product purchase will be refunded to the User.

Notwithstanding the above, the right of withdrawal is excluded in the cases provided by Legislative Decree n. 206/2005 and subsequent amendments, particularly with reference to what is indicated in art. 59 of the aforementioned Legislative Decree.

 

Art. 12 – Processing of Personal Data

MM Operations and Officine Gullo process the User’s personal data in compliance with applicable regulations, particularly in accordance with the provisions of Regulation (EU) n. 2016/679, as detailed in the privacy policy section of the Website.

 

Art. 13 – Applicable Law and Jurisdiction

Except for specific legal obligations, these Conditions are governed by Italian law. As a result, disputes concerning the interpretation, performance, and termination of the purchase contract for the Product executed under these Conditions are subject exclusively to Italian law and must be resolved by the Italian courts.

Specifically, if the User is acting as a consumer, any disputes must be resolved by the court of the User’s domicile or residence, in accordance with applicable law, without prejudice to the application of any alternative dispute resolution mechanisms that may be provided and governed by mandatory legal provisions.

For Users acting as consumers and residing in European Union Member States, disputes related to purchases made under these Conditions can be referred to the Online Dispute Resolution procedure, provided by the European Commission and accessible at the following link: https://ec.europa.eu/consumers/odr/.

 

Art. 14 – Final Provisions

For any matters not expressly regulated by these General Conditions, reference is made to the applicable regulations in force at the time.
If any of the clauses of these General Conditions is declared invalid, illegal, or ineffective by the competent judicial authority, the remaining provisions will continue to be effective. Failure or delay by a Party in exercising any of the rights, powers, or remedies granted to them under these General Conditions shall operate as a waiver limited to the specific case and shall not prevent their subsequent exercise.
